GIS conducts business activities based on the principles of fairness, honesty,trustworthiness, and transparency.To implement integrity management policy and actively prevent dishonest conducts, the board of directors passed the establishment of the Procedures for Ethical Management and Guidelines for Conduct,  Guidelines for the Codes of Ethical Conduct, and Procedures for Handling Material Inside Information and the Procedures for the Prevention of Insider Trading on July 7,2014. 


Reporting Channel and Whistleblower Protection Policy


Integrity is a top priority of GIS business principles. GIS is committed to act ethically in all aspects of our business, and will not condone any form of corruption and fraud. If you find or suspect any unethical conduct or breach of GIS's ethical standards by a GIS employee or anyone representing GIS, please contact us. Your report will be directly handled by a dedicated unit.

Unless otherwise provided by laws, GIS will maintain the confidentiality of your personal information and protect your identity to the fullest extent permitted by law.


Please be noted:

  • GIS may use your personal information, including name, telephone number and email address, to facilitate investigation or to contact you. If necessary, GIS may share your personal information with its subsidiaries.

  • You may not act maliciously or knowingly and willfully make a false statement. You shall assume liability for the allegations that prove to have been made maliciously or knowingly to be false.

  • To promptly act to investigate and/or resolve the issue, please provide as much detailed information and documents as possible. Please note that if the information or documents are insufficient, the investigation may be hampered.

  • You may not disclose any or part of information provided by GIS. Unless otherwise required by law, you may not file a lawsuit using the correspondence between you and GIS.


Handling procedures:

GIS has made the“Procedures for Ethical Management and Code of Conduct”to provide the channel below for both internal and external reporting on violations of the Company’s policies, integrity and ethical principles, and legal regulations applicable to the Company, as well as any other behaviors that may damage the Company’s rights. The reporting will be directly handled by a dedicated unit. The practice is part of the efforts to prevent corporate corruption, protect whistleblowers, and follow related regulations, including the Company’s“Code of Ethics for Directors and Officers,”and the“Ethical Corporate Management Best Practice Principles for TWSE/GTSM Listed Companies”by the government.

The Company’s contact window will notify the dedicated unit immediately upon receiving reporting, and a task force will be established to conduct investigations on the suspected violation.

Integrity & Ethical Management 


The Company has strictly required all of its employees and suppliers to follow its integrity management policies, with the "Procedures for Ethical Management and Code of Conduct (Chinese)”   approved by the Board of Directors, and other internal and external documents on integrity management policies and practices.

The Company’s business management division is in charge of establishing, supervising, and implementing ethical management policies. The division needs to inspect personnel execution and implementation results based on various operation procedures to ensure that the Company’s operation process and results are fully complied with ethical management principles, and that the Company discloses financial information in a complete, fair, accurate, and timely manner. The inspection results should be reported to the Board of Directors at least once a year. In 2023, the division assessed the Company’s ethical management implementation in 18 items. All of the evaluation results met relevant regulations. The results were reported to the Board of Directors on November 11, 2024.

The implementations in 2024 were as the following:

1. Internal promotion

A. Continuously promoted related topics to deepen employees’ awareness on the occupational ethics and legal compliance via multiple channels, including managerial meetings, the corporate website, internal TV walls, and computer start-up screens.

B. The major publicity matters is about the specification of insider trading.

2. Training

A. A total of 86 people attended the courses and conferences of " Insider trading prevention".( Include“Insider trading prevention"and “Anti-Money laundering”.

B. 100% of the employees attended the held online training on integrity management.

3. Sign the Integrity Statement

A. New employees were required to sign the "Integrity and Intellectual Property Agreement," "Intellectual Property and Confidentiality Agreement," "Property Rights and Confidentiality Statement," or "Integrity Management Commitment." The signing rate was 100% in 2023.

B. Suppliers needed to come under scrutiny of their legitimacy and integrity management conditions and sign a commitment letter to follow the integrity polices with GIS before establishment of business relationship. As of November of 2024, all of the new general suppliers signed the commitment letter.

3. Political and Charitable Donations

A. The Company adheres to the principle of political neutrality and does not actively participate in political parties or political activities, nor does it engage in any lobbying activities. The amount of political donations and lobbying in 2024 is NT$0. If there is a political donation plan, it will strictly comply with relevant laws and regulations and ensure that it does not seek any commercial benefits or transaction advantages, and avoid using political or charitable donations as a means of corruption and bribery. Although the Company has not made any political donations, we respect the freedom of employees to express their political intentions and encourage employees to fulfill their civic responsibilities.

B. In terms of public welfare and charity, the Company's donations or sponsorships are carried out in accordance with internal management regulations, which clearly prohibit disguised bribery and profiteering to ensure compliance with anti-corruption standards and relevant legal requirements.




Insider Trading Prevention

GIS has established the “Operating Procedures for Handling Internal Material Information and Preventing Insider Trading. (Chinese)” Besides demanding the Company to disclose information through the spokesperson system, the procedures require board directors, managerial officers, and employees to strictly keep confidential financial and business information secrete to prevent improper information disclosure and insider trading.


The implementations in 2025 were as the following:

1.The Company's "Internal Material Information Processing and Insider Trading Prevention Management Procedures" stipulate that directors are prohibited from trading the Company's shares during the 30-day/15-day lock-up period preceding the announcement of annual/quarterly financial reports. To ensure directors' compliance with these regulations, the Company issues a notification letter to each director before the lock-up period of each quarterly financial report announcement to remind them to comply. For example, for the quarterly board meeting held on November 7, 2025, the Company issued a lock-up period notification letter to the directors on October 22.

2.The Company’s Directors and Corporate Governance Officer attended the “2025 Insider Trading Prevention Seminar” and the “2025 Legal Compliance Seminar for Insider Equity Transactions” organized by the TWSE, with a total of 4 participants and 12 person-hours.

3.The Corporate Governance Officer conducted a briefing on insider trading regulations for the directors and accounting officer on November 7, 2025, with a total of 8 people participating.

4.From November to December 2025, the Company conducted a training course on "Corporate Governance - Introduction to Insider Trading Regulations" through an internal online learning system. The training was conducted for managerial officers and all employees in the plant area, with a total of 8,501 people completing the training, achieving an overall completion rate of 98.5%.
